Cityparent.com and its contents are the property of City Parent, a division of Metroland Media Group Ltd., (“City Parent”), or its licensors. Access and use of cityparent.com (the “Site”) are subject to the Site’s Privacy Code and the terms and conditions set out below. You understand that each time you use the Site, you agree to these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not access or use this Site.
We reserve the right to change these Terms and Conditions from time to time. Please check these Terms and Conditions periodically for changes. Your continued use of this Site following the posting of these Terms and Conditions will mean you accept those changes.

User Materials and License Granted

Materials entered by users on any part of this Site (including, but not limited to postings on our forums) (collectively “Postings”) are the responsibility of the user entering the Posting. CITY PARENT HAS NO RESPONSIBILITY FOR POSTINGS. City Parent does not pre-screen, monitor or approve any Postings, but has the right to remove, refuse, edit or delete any Postings for any reason whatsoever. Please be aware that City Parent will not be liable to you or any third-party for any modification or discontinuance of your Postings.
You hereby represent and warrant that you have all necessary rights in and to all Postings you provide and that the Postings shall not infringe any proprietary or other rights of third parties or contain any libelous, tortious or otherwise unlawful information. The Site may only be used for lawful purposes. You may not use the Site to transmit, post, distribute or store any material or conduct any activities in violation of any applicable local, provincial, federal or foreign law or regulation. You agree to comply with any applicable laws, statutes, bylaws and regulations in your use of the Site. You agree not to use the Site in any manner that violates, or proposes a transaction which, if consummated, would violate the trademark, copyright, patent, trade secret, trade dress, publicity or privacy rights or other proprietary rights of City Parent or any third party, expose City Parent to civil or criminal liability, or violate these Terms and Conditions. You agree that you are solely responsible for obtaining all necessary licenses and permissions necessary for your Postings.
By posting any content to the Site, you grant to City Parent a non-exclusive, irrevocable, perpetual, fully-paid and royalty-free worldwide license (with a right of sublicense through unlimited levels and numbers of sublicenses) to use, copy, modify, adapt, translate, publicly perform, publicly display, store, reproduce, transmit and distribute such content in any form or media, whether now known or later discovered. In addition, you warrant that all "moral rights" in such materials have been waived. You represent, warrant and covenant that (i) you own the copyright to the content posted by you or otherwise have the rights to grant the licenses herein; and (ii) posting of the content and/or the use by City Parent or any other person of the content in connection with any services will not violate any contract or intellectual property rights, or any rights of privacy or personality, of any person. You may not post, modify, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. You agree to pay for all royalties, fees and any other moneys owing to any person by reason of any content posted by you on the Site.
You agree not to post any prohibited content on the Site or post any links or URL's (web addresses) to sites containing prohibited content. Prohibited content includes, without limitation, words, images, sounds or other content that

• is obscene;
• denigrates a class of people because of their race, religion, country of origin, sexual orientation or gender;
• depicts violent or criminal acts, or seeks to incite violence or crime;
• relates or pertains to any "hate group," for example, groups that are organized in part to promote the oppression of or assert the supremacy of any class of people;
• contains violence or offensive subject matter, or defamatory or libelous statements;
• makes abusive, harassing or unlawfully disparaging remarks or threats;
• involves any commercial activities and/or sales without our prior consent, including promoting any contests, sweepstakes, barter, advertising or franchise, pyramid scheme, multi-level marketing (MLM) opportunity, "club membership", distributorship or sales representative agency arrangement or other business opportunity which requires an up front or periodic payment, requires recruitment of other members, sub-distributors or sub-agents;
• infringes or violates, or promotes infringement or violation of any third party's copyright, trademark, trade secrets, privacy or other proprietary or property right, for example, by providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
• includes a photograph of another person that you have posted without that person’s consent;
• impersonates any person or entity or that you know is misleading, false or promotes illegal activities;
• solicits personal information from anyone under age 18 or solicits passwords or personally identifying information for commercial or unlawful purposes from other users;
• involves the transmission of junk mail, chain letters or unsolicited mass mailing, instant messaging, phishing, spamming or the like;
• contains restricted or password only access pages or hidden pages or images;
• furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to, making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses;
• provides any person’s telephone numbers, street addresses, urls or email addresses without that person’s consent; or
• could constitute a criminal offence, give rise to civil liability or otherwise violate any applicable law.

When participating in one of our forums, never assume that people are who they say they are, know what they say they know, or are affiliated with whom they say they are affiliated. City Parent and/or its affiliates and licensors cannot be responsible for the content or accuracy of any information, and will not be responsible for any reliance or decisions made based on such information. When using a forum, you may not post, transmit, link to, or otherwise distribute any information, materials or content that do not generally pertain to the designated topic or theme of the particular forum. Use of a forum for commercial purposes of any kind is strictly prohibited. Please note that City Parent reserves the right to refuse to post or to remove any information or materials, in whole or in part, that, in its sole discretion, are unacceptable, undesirable, or in violation of these Terms and Conditions.
City Parent may take action at its sole discretion to prevent any illegal or unauthorized use of the Site.  City Parent reserves the right, without obligation, to remove prohibited content and to report it to the appropriate authorities.

Termination of Access

The Site has the right terminate your access for any reason if we believe you have violated these Terms and Conditions in any manner. You agree not to hold the Site liable for such termination.

Users may, through hypertext or other computer “links”, gain access to other websites on the Internet which are not owned, operated or controlled by City Parent. The Site has no control over and is not responsible for the content of or claims made on websites that may be linked to or from the Site, whether or not they may be affiliated with the Site. Any websites linked to or from the Site are for your convenience only, and you access them at your own risk.

Indemnity

You agree to indemnify and hold harmless City Parent, its parent, affiliates or associated companies and their respective employees, directors and officers (collectively “Indemnified Parties”) from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site, the violation of these Terms and Conditions by you, or the infringement by you, or other users of the Site using your computer, of any intellectual property or other right of any person or entity. You will use your best efforts to cooperate with City Parent in the defense of any claim. City Parent reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CITY PARENT IS PROVIDING THIS SITE ON AN “AS IS” AND “AS AVAILABLE” BASIS AND MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR OWN RISK. THE SITE MAKES NO WARRANTY THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, WITHOUT DEFECT OR ERROR FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO NEGLIGENCE, SHALL CITY PARENT OR ITS AFFILIATES, OWNERS, AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, SPONSORS, SUPPLIERS, OR PARTNERS (COLLECTIVELY "INDEMNIFIED PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF USE, LOSS OF DATA, LOSS OF PROFIT, LOSS OF OR DAMAGE TO PROPERTY OR FOR ANY DAMAGES OF ANY KIND OR CHARACTER (INCLUDING WIHTOUT LIMITATION ANY COMPENSATORY, INCIDENTAL, DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES), EVEN IF ANY OF THE INDEMNIFIED PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF (OR INABILITY TO USE) CITYPARENT.COM, ITS CONTENTS, OR ANY WEB SITE OR CONTENTS WITH WHICH IT IS LINKED, OR ANY INTERACTION BETWEEN YOU AND OTHER PARTICIPANTS OF THE SITE.
IF YOU ARE DISSATISFIED WITH THE SITE, OR ANY PORTION THEREOF, OR DO NOT AGREE WITH THESE TERMS, YOUR ONLY RECOURSE AND EXCLUSIVE REMEDY SHALL BE TO STOP USING THE SITE.

Jurisdiction

These Terms and Conditions shall be governed by, construed and enforced in accordance with the laws of the Ontario, Canada, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or in connection with these Terms and Conditions or this Site shall be filed only in the provincial or federal courts located in Ontario, Canada and hereby submit to the nonexclusive jurisdiction of such courts. You also agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.
